6. Limitation of Liability

This includes loss of profits, loss of revenue, loss of business opportunity, loss of data, loss of use, loss of goodwill, or damage to reputation, even if we have been advised of the possibility of such damages.

Our total liability arising from or relating to these Terms, the Site, or any Content shall not exceed the greater of: (a) the amount you paid to us in the 12 months preceding the claim, or (b) £100. This cap applies to all claims, regardless of legal theory—whether based on contract, tort, strict liability, or any other basis.

Some jurisdictions do not allow the exclusion or limitation of certain damages. If applicable law in your jurisdiction prohibits the limitations above, the maximum liability shall be the minimum amount permitted by that law. This indemnification obligation does not apply to claims arising solely from our gross negligence, willful misconduct, or violation of law. We reserve the right to assume exclusive control of defence of any claim subject to indemnification. If we assume such control, you agree to cooperate fully in our defence.

10. Governing Law and Jurisdiction

However, either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm. This does not preclude resolution of disputes through alternative dispute resolution methods as described in Section 11 below.

11. Dispute Resolution

Before initiating formal legal proceedings, we encourage resolution of disputes through negotiation. We will respond within 14 business days and attempt to resolve the matter informally.

If informal resolution fails within 30 days, either party may pursue formal dispute resolution. Both parties agree to attempt mediation before initiating litigation. The mediator shall be mutually selected. Each party shall bear its own costs, with mediation costs split equally, unless agreed otherwise.

If mediation does not resolve the dispute within 60 days, either party may initiate binding arbitration or court proceedings as permitted by applicable law. Arbitration shall be conducted by a single arbitrator under rules mutually agreed by the parties. The arbitration shall take place in London, England.

Notwithstanding the foregoing, IndexEdge Trading Ltd may seek immediate injunctive relief in court to prevent irreparable harm, protect intellectual property rights, or enforce these Terms. You also retain the right to pursue claims in small claims court if eligible under applicable law.

12. Termination of Access

IndexEdge Trading Ltd reserves the right to terminate or restrict your access to the Site at any time, with or without cause, and with or without notice. Termination may occur immediately upon detection of prohibited conduct, including violation of these Terms, illegal activity, harassment, or abuse.

Causes for termination include but are not limited to: repeated violations of these Terms; hacking or attempted unauthorised access; posting of illegal, defamatory, or abusive content; harassment of other users or our staff; and commercial scraping or automated data collection.

Upon termination, your right to access and use the Site immediately ceases. Termination does not affect your accrued obligations or liabilities. Sections of these Terms that by their nature should survive termination (such as intellectual property rights, indemnification, disclaimers, and limitation of liability) shall survive termination.

You may terminate your use of the Site at any time by ceasing to access it. We may also provide a mechanism to request account deletion in compliance with data protection laws. Termination does not relieve you of obligations incurred prior to termination.
